Terms of Service

These Terms constitute a legally binding agreement between your organization and Onada Innovative Ltd, the company registered in Nigeria under RC 7947458 and the operator of OnadaVerify. If you are accessing OnadaVerify on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not have that authority, or if you do not agree to these Terms, you must not use the platform. Continued use of OnadaVerify following any update to these Terms constitutes acceptance of the revised version.

OnadaVerify is a cloud-based SaaS platform that enables registered organizations to issue cryptographically secured, verifiable document records and provides a public portal through which any person can verify the authenticity of those documents.

The platform generates a unique Verification ID, a scannable QR code, and a permanent verification link for every document issued. Verification results are returned in real time as one of four statuses: Verified, Revoked, Expired, or Invalid.

OnadaVerify is a document verification infrastructure platform. It does not guarantee the underlying truth of any information entered by an issuing organization. The platform confirms only that a document record exists within the OnadaVerify system and was issued by a registered organization. Responsibility for the accuracy and integrity of document data rests entirely with the issuing organization.

To access OnadaVerify's document issuance features, your organization must complete the registration process and provide accurate information including your organization's name, type, country of operation, website, and the details of a designated contact person. You are responsible for keeping this information current and accurate at all times.

Upon registration, your organization is assigned an Administrator account. The Administrator has full control over the organization's dashboard, including the ability to invite team members, configure permissions, issue documents, and revoke documents. You are responsible for all activity that takes place under your organization's account, including actions taken by team members you have authorized.

OnadaVerify reviews registered organizations before their issued documents appear as Verified on the public portal. We reserve the right to decline registration, suspend, or terminate any organization account that we determine, at our sole discretion, does not meet our standards for institutional accountability or that violates these Terms.

You must not share your login credentials with unauthorized individuals or allow access to your account by parties who have not been granted formal team member access through the platform's built-in user management system.

OnadaVerify is intended for use by legitimate organizations issuing official documents within their recognized institutional authority. By issuing a document through OnadaVerify, you confirm that the document record is accurate, that you are authorized to issue the document described, and that the document holder's information has been entered correctly.

You agree to use OnadaVerify only for lawful purposes and only in connection with documents that your organization has a legitimate right to issue. You must not use the platform to issue false, fabricated, or misleading document records. You must not use OnadaVerify to impersonate another organization or to create verification records designed to deceive verifiers or third parties.

You are responsible for revoking any document that was issued in error, that has been cancelled, or where you have reason to believe the document holder obtained the document through fraudulent means. Failure to revoke a document that you know to be invalid may constitute a breach of these Terms and may expose your organization to legal liability.

Because OnadaVerify processes personal data on your behalf when you issue document records, you are the data controller for that data and are responsible for complying with the Nigeria Data Protection Act 2023, the NDPR 2019, and any other applicable data protection laws in relation to the individuals whose information you enter into the platform.

The public verification portal is provided as a free, frictionless service for anyone who needs to verify a document. No account or subscription is required to use the portal. By using the verification portal, you agree not to attempt to enumerate, scrape, or systematically query the verification database in an automated manner. You agree not to use verification results for any purpose that could constitute harassment, discrimination, or unauthorized processing of another person's data.

Verification results represent the status of a document record within the OnadaVerify system at the time of the query. A Verified result confirms that the record was issued by a registered organization and is currently within its validity period. It does not constitute a legal certification or professional endorsement by Onada Innovative Ltd. Verifiers are responsible for applying appropriate judgment when making decisions based on verification results.

Access to OnadaVerify's document issuance features requires an active paid subscription. Subscription plans, pricing, and included document volumes are as published on the OnadaVerify website at the time of purchase. Onada Innovative Ltd reserves the right to modify pricing with reasonable notice to existing subscribers.

Subscription fees are billed in advance on the applicable billing cycle. Failure to maintain a valid payment method or failure to pay fees when due may result in suspension of your organization's issuance capabilities. Existing document records and their public verification status are not deleted upon plan expiry or suspension, though the ability to issue new documents will be restricted.

All payments are processed by a third-party payment provider. By subscribing, you agree to that provider's terms of service. Onada Innovative Ltd does not store your full card or banking details.

Refunds are not provided for partial billing periods or for unused document allowances within a billing period. If you believe you have been charged in error, contact support@onadaverify.com within 14 days of the charge and we will investigate.

All software, design, code, branding, content, and documentation comprising the OnadaVerify platform are the property of Onada Innovative Ltd and are protected under applicable Nigerian and international intellectual property law. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable licence to access and use OnadaVerify for the purposes described in these Terms during the period of your active subscription. This licence does not permit you to copy, modify, reverse engineer, resell, sublicence, or create derivative works from any part of the platform.

Document records and the data contained within them remain the property of the issuing organization. Onada Innovative Ltd does not claim ownership over document data entered by organizations. You grant Onada Innovative Ltd a limited licence to store, process, and display that data as necessary to operate the verification infrastructure described in these Terms.

You must not use OnadaVerify to issue document records containing false or fabricated information. You must not attempt to gain unauthorized access to other organizations' accounts, document records, or data. You must not interfere with or disrupt the platform's infrastructure, including through automated scraping, flooding, or denial-of-service attacks.

You must not use the platform to facilitate fraud, identity theft, or any criminal activity. You must not use the verification portal to harvest or compile personal data on individuals at scale. You must not attempt to manipulate, reverse-engineer, or circumvent the Verification ID or QR code system.

Breach of any of these prohibitions may result in immediate account termination, referral to the relevant Nigerian law enforcement authorities, and civil action for any damages caused to Onada Innovative Ltd or third parties.

OnadaVerify is provided on an "as is" and "as available" basis. While Onada Innovative Ltd takes significant measures to maintain platform availability and security, we do not guarantee uninterrupted or error-free service.

To the fullest extent permitted by Nigerian law, Onada Innovative Ltd shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use OnadaVerify, including but not limited to losses arising from decisions made by third parties on the basis of verification results. Our total aggregate liability to any organization in connection with these Terms shall not exceed the total subscription fees paid by that organization in the three months preceding the event giving rise to the claim.

Nothing in this clause limits liability for fraud, gross negligence, or any other liability that cannot be excluded under Nigerian law.

You agree to indemnify, defend, and hold harmless Onada Innovative Ltd and its officers, employees, and agents against any claims, damages, fines, penalties, or costs including reasonable legal fees arising from your use of OnadaVerify in breach of these Terms, from document records you have issued that are found to be false or misleading, or from any violation of applicable law in connection with your use of the platform.

Onada Innovative Ltd may suspend or terminate your organization's account at any time if we determine that you have breached these Terms, that your account poses a security or integrity risk to the platform, or that continued access is inappropriate for any lawful reason. We will provide notice where practicable, but reserve the right to act immediately where necessary to protect the platform or other users.

You may terminate your subscription at any time by contacting support@onadaverify.com. Termination does not entitle you to a refund for any remaining portion of your current billing period. Upon termination, your organization's ability to issue new documents will cease, though existing document records will remain accessible on the public verification portal unless you request deletion, subject to any legal retention obligations.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, it shall be submitted to mediation or, failing that, to the jurisdiction of the courts of Nigeria.

Onada Innovative Ltd may update these Terms at any time. When changes are made, the revised Terms will be published at verify.onadaverify.com/terms with an updated effective date. For material changes, registered organization administrators will be notified by email at least 14 days before the changes take effect. Continued use of OnadaVerify after the effective date constitutes acceptance of the revised Terms.
